Montana Casting Co. Affiliate Program Agreement

Please read the following contract carefully. 

This is a legal contract between you (the “Affiliate” or “you”) and Montana Casting Co., LLC ("Montana Casting Co." or “us”). It describes the requirements and responsibilities of both you and us when engaging in this program, and you MUST read and agree to them to participate in our affiliate program. 1. Definitions:

“Affiliate Program” refers to our affiliate program as described by this Agreement. 

“Affiliate Lead” refers to a prospective Affiliate Customer who clicks the Affiliate Link we’ve made available to you through your Simple Affiliate Dashboard.

“Affiliate Link” is the unique tracking link you place on your website, social media account, or other promotional channels to receive commission on Affiliate Customer Transactions.

“Agreement” refers to this Affiliate Program Agreement and any referenced or linked materials within.

“Commission” is the percentage of revenue described in this Agreement that you receive from each Customer Transaction.

“Affiliate Customer” refers to the actual user of Montana Casting Co. products who has purchased Montana Casting Co. products using an Affiliate Link.

“Affiliate Customer Discount” is the percentage off a product’s retail price described in this Agreement that is given to Affiliate Customers who use your Affiliate Link.

“Affiliate Customer Transactions” are transactions by Affiliate Leads that are eligible for Commission pursuant the “Commission Structure” and “Sessions and Eligible Items” sections of this agreement.

“Eligible Items” are the Montana Casting Co. products that, when purchased during an Affiliate Customer Transaction as outlined above, are eligible for Commission and the Affiliate Customer Discount. For more details on what constitutes an Eligible Item, please see the "Sessions and Eligible Items" section below.

2. Who is Eligible to Apply?

The Montana Casting Co. Affiliate program is currently limited to a small group of individuals and acceptance will depend both on availability as well as your own qualifications. Application does NOT ensure acceptance. In general, Montana Casting Co. is looking for Affiliates who:

• • • Present a friendly, respectful attitude,
    • Demonstrate passion for and expertise in the field of fly fishing and our products,
    • Understand the wants and needs of fly fishermen,
    • Have a basic understanding of and the ability to use a Gmail and Google Drive account,
    • Own, work under, or are otherwise involved in businesses, programs, or hobbies related to fly fishing, including but not limited to fly shops, guiding services, workshops, retreats, classes, an ongoing blog, or a social media account dedicated to fly fishing-related content.

Applicants must be able to meet the following requirements to become an Affiliate:

• Have a social media account, website, or blog that demonstrates a history of content consistent with the Montana Casting Co. Brand and 1,000 followers or more if you have a website or blog, be able to show us the amount of web traffic you receive,
• Verify ownership of your account, website, or blog via communication through your social media account, website, or blog, that you will be using to promote Montana Casting Co.,
• Create a Montana Casting Co. account and sign up for the mailing list,
• Fill out and submit a W-9 once you have been approved as an affiliate,
• Create a Stripe account for the purpose of receiving your commission payouts,
• And make three or more promotional posts for Montana Casting Co. each month that tag @montanacastingco and either #montanacastingco or #mccoflyrods and include your affiliate link for discounts on the Montana Casting Co. Website.

Age Restrictions: You must be at least 18 years of age to join our affiliate program. By submitting an application to our Affiliate Program, you represent and warrant that you are at least 18 years of age and may legally agree to this Agreement. Montana Casting Co. assumes no responsibility or liability for any misrepresentation of your age.

3. Assent and Acceptance

Once you register to become an Affiliate, we will review your application and notify you as to whether or not you have been accepted to participate in the Affiliate Program. As we review your application, we may reach out to you for more information or ask you to write a paragraph about why you feel you would be a good fit for our program.

Wait for approval or denial via email to the email address you provided on your application. Please keep in mind that we retain a limited number of affiliates, and we cannot accept everyone. Denial does not exclude you from reapplying at a later date.

Montana Casting Co. reserves the right to deny any affiliate application. If we do not notify you that you are accepted to participate in the Affiliate Program within 30 days from your initial application, your application is considered rejected.

If you are accepted to participate in the Affiliate Program, then upon notification of acceptance, the terms and conditions of this Agreement shall apply in full force and effect until terminated via the terms set forth below. 

4. Non-Exclusivity

This Agreement does not create an exclusive relationship between you and us. You are free to work with similar affiliate program providers in any category. This agreement imposes no restrictions on us to work with any individual or company we may choose.

5. Affiliate Onboarding

Account Set Up: You will need to complete the following within 10 days of your acceptance into the Affiliate Program:

1. Login to your Simple Affiliate Dashboard through the Montana Casting Co. Website.
2. Complete a W-9 form and email it to us at affiliate@montanacastingco.com. A link to the W-9 form can be found in your Affiliate Dashboard menu by logging into your Montana Casting Co. account. We cannot pay commissions until we have received your completed W-9.
3. Set up the Payout section of your Affiliate Dashboard by connecting to the Stripe App. Note: You must scroll down and on the right-hand side of the screen, choose United States and then click the Connect Bank button. The Stripe platform is secure; only you can access your Stripe account. Be sure to securely save your login credentials. 
   
4. It is recommended to add your Affiliate Link from the “Links” section of your Affiliate Dashboard to your website, blog, and/or social media accounts. This will help increase your commissions.
5. Ensure you have access to the Google Drive folder we set up for you with a copy of this Affiliate Guide and approved logo assets. You will be responsible for creating a document to record your social media posts. 
   

If you need help with any of the above, contact us at affiliate@montanacastingco.com or 406-285-1452. Failure to complete the above-stated criteria will result in termination of this Agreement, and you will no longer be able to participate in the Affiliate Program.

6. Affiliate Duties

The Affiliate will use their verified social media account, website, or blog to publish at least three promotional posts each month. These posts must contain your Affiliate Link, and the hashtags #montanacastingco or #mccoflyrods. Montana Casting Co. must also be tagged in these posts.

The Affiliate will place a link to the post into a document you create and store in the Google Drive folder we granted you access to during onboarding. Affiliates must place links to the posts in the Google Drive folder.

The Affiliate may also promote the Affiliate Link and Montana Casting Co. in the following spaces, as long as they are yours: 

a.    Other social media platforms
b.    Website 
c.    Blog

7. Commission Structure

Montana Casting Co., LLC (“Montana Casting Co.”) runs an affiliate program through Simple Affiliate with payments handled through Stripe (see payout information below).  Your affiliate link enables an Affiliate Lead to get 10% off any Eligible Item at Montana Casting Co., and enables you to receive a commission equal to 10% of the purchase price.
A commission of 10% is paid when:

1. An Affiliate Lead (customer) clicks through to the Montana Casting Co. Website using your affiliate link or uses your discount code at checkout, and
2.  During a Session, the Affiliate Lead adds an Eligible Item to their cart and purchases that item; and
3. 30 days have passed since the order was fulfilled and the product was shipped to the Affiliate Customer, and the product was not returned or exchanged. If an exchange occurs, the commission will be paid on the purchase price of the final product the customer receives.

You will only be eligible for a commission payment when a transaction is derived from leads generated by the Affiliate Link that we make available to you, or if a purchase is made using the affiliate discount code Montana Casting Co. provides to you.

8. Bonuses

Montana Casting Co. offers a 50% discount on up to two eligible fly rods and two eligible reels to each of its Affiliates.

The 50% discount will be applied in the following manner: Upon acceptance into the program, you will be given a 20% off discount code to use on ALL eligible items for as long as you remain a Montana Casting Co. affiliate in good standing per the terms of this agreement. After you have successfully fulfilled your duties as outlined by this agreement for two months from the time of your acceptance, you will be refunded an additional 30% off of any purchases you made of up to two eligible fly rods and two eligible fly fishing reels. The refund will be credited to the form of payment you originally used. You will receive an email when the refund is being processed.

No affiliate discounts may be combined with other discounts.

Additionally, depending on your performance, we may offer you larger discounts, free products, and other bonuses. These will be provided solely at the discretion of Montana Casting Co.

Please note that all purchases you make using your affiliate discount code are final and not eligible for returns. Expenses incurred by an affiliate in purchasing our product to generate revenue can be used as a tax write-off at the end of the year.

9. Affiliate Link for Customer Discount

When an Affiliate Lead accesses the Montana Casting Co. Website using your Affiliate Link or the Affiliate Customer Discount code at checkout, the Affiliate Lead receives a 10% discount on Eligible Items. Montana Casting Co. reserves the right to change the Affiliate Customer Discount at any time. If Montana Casting Co. changes the Affiliate Customer Discount, you will be notified before the change takes effect.

10. Session and Eligible Items

A Session starts when an Affiliate Lead clicks on your Affiliate Link and ends when the Affiliate Lead places an order, or after 24 hours from the start of the session, or if the Affiliate Lead clicks on a different affiliate link to visit any part of the Montana Casting Co. Website.

All items available at montanacastingco.com are Eligible Items, EXCEPT the following are not Eligible Items and will not earn any commission nor be eligible for the 10% discount for Affiliate Leads:

1. Custom fly rods,
2. Charges for customizations of in-stock fly rods (such as applying a custom epigraph to a pre-built Fly Rod), but you will still earn a commission on the purchase price of the fly rod,
3. Montana Casting Co. fly rod cases and rod socks,
4. Montana Casting Co. e-Gift Cards,
5. Any purchase that is not correctly reported because your links to Montana Casting Co.’s website are not properly formatted,
6. Any purchase by an Affiliate Lead who visits the Montana Casting Co. website through a non-permitted marketing activity,
7. Any product purchased for resale or commercial use unrelated to Montana Casting Co. Affiliate Program.
8. Any product that is cancelled or returned, or
9. Any product that is added to an Affiliate Lead’s shopping cart after a Session has ended.

Montana Casting Co. reserves the right to modify the list of Eligible Items at any time. You will be notified via email if changes are made. 

11. Montana Casting Co. Sale Events and Non-Affiliate Discounts

Montana Casting Co. has permanent discounts on package deals such as the Outfit Builder and our Fly Rod Combos. Discounts do not stack; the Affiliate Lead will automatically receive the highest available discount.

Montana Casting Co. may also run and advertise periodic sales with higher discounts than the normal Affiliate Customer Discount of 10% available when using your Affiliate Link or Affiliate Customer Discount code. As outlined above, discounts do not stack; during a sale event, when the Affiliate Lead uses the link, they will automatically receive whichever discount is greater.

Regardless of the discount the Affiliate Lead receives, your commission will be calculated based on the price paid by the Affiliate Customer for Eligible Items after the discount has been applied.  

E.g., If an Affiliate Lead uses your Affiliate Link to purchase a $1,000 product that is on sale for 25% off, the 10% discount available through your Affiliate Link will be automatically replaced by the 25% sale discount, and the lead will pay the sale price of $750. You will receive your commission based on the sale price of $750 as outlined in the Commission Structure above.

12. Affiliate Marketing and Acceptable Use of Logos

You agree that you are authorized and required to place affiliate links on your website or social media page under this Agreement.

You are granted a limited license to make use of the Montana Casting Co. Logo, images, or product links available to you through your affiliate account and Montana Casting Co. Google Drive Folder. You may not modify the Logo, images, or links in any way without the express written permission of Montana Casting Co.

With regard to search engines, you agree not to bid on any keywords relating to products on the Montana Casting Co. Website and related terms that Montana Casting Co. already makes use of, or for which Montana Casting Co. holds Trademarks.

You will not be paid for links originating from free or organic search engine URLs; an Affiliate Lead must have first visited your website or social media page.

You are not permitted to use this program by sending unsolicited e-mail to any address, posting on bulletin boards, forums, blogs, or other similar activities.

Increase your commissions:

1. Sharing Montana Casting Co. posts to your social media page is highly recommended and an easy way to increase your commissions.  
2. Signing up for the mailing list will keep you informed of current sales, new products, blog posts, and more.  This will help you promote Montana Casting Co., making your affiliate duties easier to fulfill and helping you generate more commissions.  You can sign up by entering your email at the bottom of any page on the Montana Casting Co. Website.
   

13. Payout Information

All affiliate accounts and payments are handled through a Shopify app called Simple Affiliate. Simple Affiliate requires you to create or use an existing Stripe account. To receive payment, you will need to do the following:

1. Follow instructions through your Simple Affiliate Dashboard to link your Stripe account to Simple Affiliate, and
2. link the bank account or debit card to which you would like to receive payment from your Stripe account. The Stripe platform is secure; only you can access your Stripe account. Be sure to securely save your login credentials.
3. Complete a W-9 form and email it to us at affiliate@montanacastingco.com. A link to the W-9 form can be found in your Affiliate Center menu by logging into your Montana Casting Co. account. We cannot pay commissions until we have received your completed W-9.

Montana Casting Co. will not be privy to any of your bank account details and will not be held liable for any delays in payment that result from improper linking of your banking or Stripe account to Simple Affiliate.

All sales generated from your account are first held for 30 days to allow for any cancellations or refunds by the Affiliate Customer. After this 30-day period, commission earnings are released to your Affiliate Account. Payouts will be made to your Stripe account on the first of every month when you have commission earnings in your Affiliate Account.

You can access information about previous and upcoming payouts through your Affiliate Dashboard. To access your Dashboard, log in to your Montana Casting Co. account through our official website and click on “Affiliate” beneath “Shop” and “Orders” in the menu. 

14. Term, Termination, and Suspension

The term of this agreement will begin when we accept you into the affiliate program. It can be terminated by either party at any time with or without cause.

You may earn payouts only if you are an Affiliate in good standing under the terms of this agreement. If you terminate this Agreement with us, you will be able to receive payouts earned prior to the date of termination.

If you violate any laws or fail to follow the terms of this Agreement or any other terms we have posted on our website, you forfeit all rights, including the claim to any unpaid payouts.

We specifically reserve the right to terminate this Agreement if you violate any of the terms outlined within, violate the intellectual property rights of Montana Casting Co. or a third party, fail to comply with applicable laws or other legal obligations, and/or publish or distribute illegal material while you are an Affiliate.

15. Limitation of Liability

You agree to indemnify Montana Casting Co. against any loss of or damage to property or for data or software that is lost, corrupted, deleted, or altered. Montana Casting Co. shall not be held liable to the Affiliate for any incidental, indirect, special, or consequential damages arising out of or in connection with your use of the Affiliate program. Additionally, Montana Casting Co. shall not be liable for any problem, loss, or damages arising from the use of the Simple Affiliate and/or Stripe platforms.

16. Website Access

Without the expressed written permission of Montana Casting Co., you may not use any device, method, or software that may interfere with site function, including, but not limited to: spiders, robots, avatars, agents, data mining, data gathering or extraction tools, and attempts to probe, scan, test or breach security and authentication measures. Further, you may not make use of any form of product or data feed that originates from Montana Casting Co. without our expressed written permission.

17. Changes to This Agreement

Montana Casting Co. reserves the right to change these terms (including the commission rate of some or all products) at any time. You will be notified of any changes by email. If you no longer wish to be a part of Montana Casting Co.’s affiliate program following any change you can remove the links to the Montana Casting Co. Website from your website or stop giving them to prospective Affiliate Customers at any time.

18. General Provisions

1. LANGUAGE: All communications made, or notices given with regard to this Agreement shall be in the English language.
2. JURISDICTION, VENUE, & CHOICE OF LAW: Through your participation in the Affiliate Program, you agree that the State of Montana shall govern any matter of dispute relating to or arising out of this Agreement, as well as any kind that may arise between you and Montana Casting Co., with the exception of its conflict of law provisions. In case any litigation specifically permitted under the Agreement is initiated, the Parties agree to submit to the personal jurisdiction of the state and federal courts of the following county: Lewis & Clark, Montana. The Parties agree that this choice of law, venue, and jurisdiction provision is not permissive, but rather mandatory by nature. You hereby waive the right to any objection of venue, including assertion of the doctrine of forum non conveniens or similar doctrine.
3. ARBITRATION: In case of a dispute between the Parties relating to or arising out of this Agreement, the Parties shall first attempt to resolve the dispute personally and in good faith. If these personal resolution attempts fail, the Parties shall then submit the dispute to the binding arbitration. The arbitration shall be conducted in the following county: Lewis & Clark, Montana. The arbitration shall be conducted by a single arbitrator, and such arbitrator shall have no authority to add Parties, vary the provisions of this Agreement, award punitive damages or certify a class. The arbitrator shall be bound by applicable and governing Federal and state law, and claims based on local laws, ordinances, statutes, or regulations. Intellectual property claims by the Company will not be subject to arbitration and may, as an exception to this subpart, be litigated. The Parties, in agreement with this subpart of this Agreement, waive any rights they may have to a jury trial in regard to arbitral claims.
4. ASSIGNMENT: This Agreement, or the rights granted hereunder, may not be assigned, sold, leased, or otherwise transferred in whole or part by you. Should this Agreement, or the rights granted hereunder, be assigned, sold, leaded of otherwise transferred by the Company, the rights and liabilities of the Company will bind and inure to any assignees, administrators, successors, and executors.
5. SEVERABILITY: If any part or subpart of this Agreement is held invalid or unenforceable by a court of law or competent arbitrator, the remaining parts and subparts will be enforced to the maximum extent possible. In such condition, the remainder of this Agreement shall continue in full force.
6. NO WAIVER: In the event that we fail to enforce any provision of this Agreement, this shall not constitute a waiver of any future enforcement of that provision or of any other provision. Waiver of any part of subpart of this Agreement will not constitute a waiver of any other part or subpart.
7. HEADINGS FOR CONVENIENCE ONLY: Headings of parts and subparts under this Agreement are for convenience and organization only. Headings shall not affect the meaning of any provisions of this Agreement.
8. FORCE MAJEURE: The Company is not liable for any failure to perform due to causes beyond its reasonable control, including, but not limited to, acts of God, acts of civil authorities, acts of military authorities, riots, embargoes, acts of nature and natural disasters, and other acts which may be due to unforeseen circumstances.
9. INDEMNIFICATION:  Affiliate agrees to indemnify, defend, and hold Montana Casting Co, LLC harmless from any and all claims, demands, suits, or actions of any kind.
10. ELECTRONIC COMMUNICATIONS PERMITTED: Electronic communications are permitted to both Parties under this Agreement, including email or fax. For any questions or concerns, please email us at the following address: affiliate@montanacastingco.com
